1. Terms

By accessing the website at https://delaynote.com, you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.

2. Use Licence

  1. Permission is granted to temporarily download one copy of the materials (information or software) on Delaynote's website for personal, non-commercial transitory viewing only. This is the grant of a licence, not a transfer of title, and under this licence you may not:
    1. modify or copy the materials;
    2. use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
    3. attempt to decompile or reverse engineer any software contained on Delaynote's website;
    4. remove any copyright or other proprietary notations from the materials; or
    5. transfer the materials to another person or "mirror" the materials on any other server.
  2. This licence shall automatically terminate if you violate any of these restrictions and may be terminated by Delaynote at any time. Upon terminating your viewing of these materials or upon the termination of this licence, you must destroy any downloaded materials in your possession whether in electronic or printed format.

3. Disclaimer

  1. The materials on Delaynote's website are provided on an 'as is' basis. Delaynote makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
  2. Further, Delaynote does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.

4. Limitations

In no event shall Delaynote or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Delaynote's website, even if Delaynote or a Delaynote authorised representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

5. Accuracy of materials

The materials appearing on Delaynote's website could include technical, typographical, or photographic errors. Delaynote does not warrant that any of the materials on its website are accurate, complete or current. Delaynote may make changes to the materials contained on its website at any time without notice. However Delaynote does not make any commitment to update the materials.

6. Links

Delaynote has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Delaynote of the site. Use of any such linked website is at the user's own risk.

7. Spotify Data & Playlist Database

Delaynote uses the Spotify API to access publicly available playlist information. Delaynote only gathers Spotify playlists which have an email address on the description and with intent for users to submit their music to. Curators may request removal from our platform via email.

Curators may choose to charge submission fees at their own discretion. Delaynote does not manage, facilitate, or participate in any part of the submission process between artists and curators.

Any communication, agreement, or transaction that occurs during that process is strictly between the artist and the curator.

Delaynote solely lists publicly available playlists whose curators have indicated they are open to music submissions.

This service is in no way associated with Spotify.

7.1. Spotify Terms of Service

Spotify - By using Delaynote, You are agreeing to be bound by the Spotify Terms and Conditions of Use. Delaynote uses Spotify's API Services. Delaynote uses Spotify playlist information to access, provide and display Spotify data on Delaynote. Delaynote will be able to retrieve public playlist data such as name and description. No private user data is used or stored on Delaynote services and are not shared with any external service. You can contact Delaynote with questions here.

8. Managed Meta Ads Campaigns

Delaynote offers a managed Meta ads campaign service as a separate paid feature from its playlist subscription products. For these campaigns, you select the song you want to promote and may choose up to 4 videos to be used in the ad creative.

By submitting a managed campaign, you authorise Delaynote to create ad creatives using your selected song, text overlays, and to set up and manage the campaign through Delaynote's Meta advertising account.

Delaynote may refuse, delay, pause, or stop a campaign if the submitted content, landing page, or campaign setup does not comply with these terms, applicable law, or Meta's advertising policies.

8.1. Campaign Content & Rights

For any managed Meta ads campaign, you represent and warrant that you own or have obtained all rights, licences, consents, and permissions required to use and promote all submitted content, including the song, sound recording, composition, artwork, branding, names, likenesses, and text used in the campaign.

You grant Delaynote a non-exclusive, worldwide, royalty-free licence to use, reproduce, edit, format, adapt, combine, and display that content solely for the purpose of creating ad creatives, preparing campaign assets, and running or managing the campaign.

You remain solely responsible for the legality, accuracy, and rights clearance of the content you submit. Delaynote is not responsible for any claims arising from content you do not have the right to use.

8.2. Campaign Fees, Budget & Refunds

Managed Meta ads campaigns are charged during checkout as a one-time payment for the duration of the campaign. Unless otherwise stated at checkout, 20% of the total amount paid for a managed campaign will be retained by Delaynote as a management fee. The remaining 80% will be allocated toward Meta advertising spend across the selected campaign duration.

By purchasing a managed campaign, you authorise Delaynote to use the applicable ad spend portion to fund advertising through Meta on your behalf.

Managed campaigns are not eligible for a refund once the campaign has started. Delaynote may, at its sole discretion, review cancellation or refund requests only where a campaign has not yet started.

8.3. Campaign Performance & Third-Party Platforms

Delaynote does not guarantee any particular advertising result, including plays, streams, followers, clicks, conversions, cost per result, or return on spend.

Managed campaigns rely on third-party platforms and services, including Meta, and may be affected by platform policies, account reviews, technical issues, delivery limitations, or changes outside Delaynote's control. Your use of any third-party platform in connection with Delaynote remains subject to that platform's own terms and policies.

9. Modifications

Delaynote may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.

10. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of United Kingdom and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

13. Payment & Subscriptions

Subscriptions to Delaynote are processed securely through Stripe. A valid subscription grants 12 months of access to all existing and new playlists available on the platform. After the 12-month period, continued access requires renewal of the subscription.

If you choose to cancel your subscription after this period, your access to Delaynote and its features will end once the subscription term expires.

Delaynote reserves the right to terminate or suspend access to its services at any time, for any reason, with a minimum of 30 days' notice provided to active subscribers.

13.1. Subscription Cancellation & Refunds

You can cancel your subscription at any time from your billing settings or by contacting our support team at [email protected].

All subscription fees are non-refundable. Cancellation will stop future renewal charges, and you will retain access to paid features until the end of your current subscription term.

In certain cases, Delaynote may, at its sole discretion, provide a refund or credit on a case-by-case basis. Users seeking such consideration should contact [email protected] with relevant details of their request.
